Please read these Terms of Service ("Terms") carefully before using Sloosh. These Terms are a legally binding agreement between you ("you", "your", "User") and HOM.AI PTE. LTD. ("HOM.AI", "we", "us", "our"), a company incorporated in Singapore with its registered office at 20 Collyer Quay, #18-03, Singapore 049319, which operates Sloosh, a ShopOS product, available at sloosh.ai and related sub-domains and applications (the "Service").

These Terms apply to all users of the Service, wherever they are located. By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms, and that you have read and acknowledge our Privacy Policy, which explains how we collect, use and share personal data. If you do not agree to these Terms, do not use the Service.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Definitions

"AI Model Provider" means a third party whose AI model powers a feature of the Service.

"Connected Agent" means any third-party AI agent or application, such as Claude, ChatGPT or Cursor, that you connect to your account or Workspace, including through the Sloosh MCP connection.

"Content" means Inputs and Outputs together.

"Credits" means the units of usage consumed when you generate Outputs or use certain features. Credits include Plan Credits and Top-Up Credits.

"Inputs" means all prompts, instructions, images, videos, files, URLs and other material you submit to the Service.

"Outputs" means all images, videos and other material generated by the Service in response to your Inputs.

"Plan" means a paid subscription to the Service.

"Plan Credits" means Credits included with a Plan for a billing period.

"Published Content" means any template, Space, canvas, Output or other Content that you publish to the community or otherwise make available to other users through the Service, other than through a Share Link.

"Share Link" means a link you create that allows others to view an Output.

"Top-Up Credits" means Credits purchased separately from a Plan.

"Workspace" means an account environment within the Service where Content is created and stored, and which may be shared with other users.

2. The Service

Sloosh provides AI-powered tools for generating and editing images and videos. The Service is built on a combination of third-party AI models and HOM.AI technology. The AI models and features available may change from time to time, and an AI Model Provider may change, restrict or withdraw a model without notice to us.

The Service is currently offered on an early-access, invitation-only basis. Features may be incomplete or unstable, and may be changed or withdrawn without notice.

We may modify, update or discontinue any part of the Service at any time. We will try to give reasonable advance notice of material changes that adversely affect you, where practicable.

3. Eligibility and Accounts

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this requirement.

You may sign up with your email address (using a one-time code or a password, as offered in the Service) or through Google. You agree to provide accurate and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@sloosh.ai if you suspect unauthorised use of your account.

We may suspend or terminate accounts that provide false or misleading information or that breach these Terms.

Connected Agents: You may connect Connected Agents to your account or Workspace. A Connected Agent acts on your behalf, and everything it does through your account, including generating Outputs, publishing Content and spending Credits, is treated as your own action under these Terms. You are responsible for the agents you connect, the permissions and daily Credit limits you set, and all Credits they spend. You can disconnect a Connected Agent at any time in your settings. HOM.AI is not responsible for the behaviour of any Connected Agent.

4. Workspaces and Teams

A Workspace owner may invite other users to join a Workspace. If you create Content in a Workspace owned by someone else, that Content forms part of that Workspace, and the Workspace owner and administrators may access, use, manage and delete it and remove you from the Workspace.

The rights in Outputs described in Section 7 belong to the owner of the Workspace in which the Outputs are generated. Members may use those Outputs only for the purposes of that Workspace, unless the Workspace owner agrees otherwise.

Workspace owners are responsible for the Plan and payments for their Workspace and for ensuring that members using the Workspace comply with these Terms.

5. Plans, Credits and Payment

Plans

Plans, prices and included Plan Credits are as shown on the Service at the time of purchase. Plans renew automatically at the end of each billing period unless you cancel before the renewal date (Section 6).

Plan Credits

Plan Credits are added at the start of each billing period (or, for annual Plans, at the start of each month) and expire at the end of the period for which they were added. Unused Plan Credits do not roll over.

Top-Up Credits

You may buy Top-Up Credits in addition to a Plan. Top-Up Credits expire 12 months after the date of purchase and can be used only while you have an active Plan. When your Plan ends, any unused Top-Up Credits are paused: they cannot be used, but they are not forfeited. When you next have an active Plan, they return to your balance, as long as they have not passed their expiry date.

General Credit Terms

Credits have no cash value, cannot be transferred or exchanged for money, and are non-refundable except as stated in Section 6. The number of Credits a generation will use is shown in the Service. Free or promotional Credits, if offered, may carry additional conditions and may be withdrawn at any time. Unless the offer says otherwise, Outputs generated with free or promotional Credits carry the same rights as any other Output. If a generation fails, or an AI Model Provider refuses it, we may restore the Credits used. We may change Credit pricing or allocations with reasonable notice, effective from your next billing period or purchase.

Payment

Payments are processed by Stripe. Fees are charged in advance in the currency shown at checkout. You authorise us, through Stripe, to charge your payment method for all applicable fees, including renewals. If a payment fails, we may suspend your access until it is resolved.

Taxes

Prices may exclude taxes. You are responsible for all applicable taxes, levies and duties connected with your purchases, other than taxes on HOM.AI's income.

Chargebacks

Starting a chargeback or payment dispute without first contacting us at support@sloosh.ai may result in immediate suspension or termination of your account.

6. Cancellation and Refunds

Cancellation

You may cancel your Plan at any time through your account settings or by emailing support@sloosh.ai. Cancellation takes effect at the end of the current billing period. You keep access to the Service and your Credits until then. We do not provide refunds or credits for partial billing periods.

Refunds

All payments are non-refundable, except as required by applicable law or as expressly stated in these Terms. If you believe you have been charged incorrectly, contact support@sloosh.ai within 30 days of the charge. If we confirm a billing error, we will issue a credit or refund as appropriate.

Statutory Cancellation Rights

Some laws give consumers a right to cancel or withdraw from a purchase within a set period. Where such a right applies to you:

  • by buying a Plan or Credits, you expressly request that we begin supplying the Service immediately;
  • you acknowledge that you lose any right to cancel or withdraw in respect of Credits, including Plan Credits, once you begin using them to generate Outputs; and
  • if you validly cancel a Plan within the applicable period, any refund will be reduced to reflect the Credits used and the Service supplied up to the time you cancel.

To exercise any such right, email support@sloosh.ai within the applicable period with a clear statement of your decision.

7. Your Content

Ownership of Inputs

You retain all ownership rights in your Inputs. You grant HOM.AI a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit (including to AI Model Providers), display and adapt your Content as necessary to provide, secure and improve the Service, to display Content through Share Links you create, and to review Content as described in Section 9. HOM.AI does not use your Content to train its own AI models.

Ownership of Outputs

HOM.AI does not claim ownership of your Outputs. Once the applicable Credits are deducted, HOM.AI grants you a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, distribute and commercialise Outputs generated from your Inputs, including the right to sublicense or transfer that licence to your clients, customers and publishers. HOM.AI will not use your Outputs except to provide and secure the Service, as described in these Terms, or as you allow (for example, by publishing them). This licence is subject to these Terms, including any rule for a particular model shown in the Service. Outputs are not guaranteed to be unique, and similar or identical Outputs may be generated for other users. To the extent permitted by law, HOM.AI makes no representation that Outputs are eligible for intellectual property protection or capable of being owned.

AI Model Providers

Your Inputs are processed by AI Model Providers under their own terms and policies, which may permit them to retain your Content or use it to improve their models. These practices are outside HOM.AI's control. Some AI models carry additional rules, which we show in the Service where they apply. Those rules form part of these Terms, and you agree to comply with them. Outputs of any model or feature marked as non-commercial in the Service may be used only for non-commercial purposes. Some models require attribution, which the Service displays, and you must not remove any attribution or provider notice that applies. See Section 3 of our Privacy Policy.

You Are Responsible for Your Content

You are solely responsible for all Content, including every image you upload and every Output you generate, share or use. HOM.AI does not review, verify or approve Inputs before they are processed, and has no means of confirming whether you hold the rights or consents needed to use them. Any claim, liability or consequence arising from your Content, including claims relating to intellectual property, privacy, publicity, image or personality rights, rests with you, not HOM.AI.

Images of Real People

If your Inputs include an image, likeness or voice of an identifiable person (including a celebrity or public figure), you represent that you have obtained all consents, releases and permissions required by law from that person for your intended use, including any consent required under laws on biometric data. You must keep a record of each such consent and give HOM.AI a copy on request. You must not upload images of anyone under 18 unless you are their parent or legal guardian or have the written consent of their parent or legal guardian, and never in any sexual, suggestive, demeaning or harmful context.

AI-Generated Content Disclosure

The Service does not add a visible watermark or label to Outputs. Some AI models embed invisible watermarks or provenance data (such as SynthID or C2PA content credentials) in their Outputs, and you must not remove, alter or interfere with them. You are responsible for disclosing that content is AI-generated wherever this is required by law (including laws on AI-generated or manipulated images and video), by advertising and consumer protection rules, or by the policies of any platform where you publish it. You must not present Outputs as real images or footage of real events or people in a way that could mislead.

Share Links

Anyone who has a Share Link can view the shared Output without signing in, and may forward or repost it. You are responsible for what you share and with whom. We may disable any Share Link at any time.

Published Content

Licence to HOM.AI: You grant HOM.AI a worldwide, royalty-free licence to host, display, reproduce, distribute, format and promote your Published Content, including by featuring it in the Service, in community and template collections, and in HOM.AI's marketing. This licence lasts while the content is published, and for a reasonable period afterwards to remove it from materials already in use.

Licence to other users: You grant every other user of the Service a worldwide, royalty-free licence to view your Published Content and to recreate, remix and build on it within the Service, including by using the prompts, settings, workflows and Inputs (such as uploaded photos) published with it. Outputs that another user generates in this way are that user's Outputs under this Section 7.

Other users' Published Content: Apart from that licence, you get no rights in other users' Published Content, Inputs or Outputs. Before using an Output commercially, replace any Inputs that belong to someone else, such as their photos, people or products.

Your responsibility: Publish only Content you have all rights and consents to share, including from every person shown in it. Published Content is shown with your first name.

Unpublishing: You may unpublish your Published Content at any time. This ends the licences above for the future, but does not affect Outputs other users have already generated from it or copies already made.

Your Representations

You represent and warrant that:

  • you own or have all rights, licences and permissions needed to submit your Inputs;
  • your Inputs and your use of Outputs do not infringe any third party's intellectual property, privacy, publicity or other rights;
  • you have obtained all consents required for any personal data, including images or likenesses of identifiable people, in your Inputs; and
  • your use of Outputs will comply with all applicable laws.

Deletion of Content

You can delete Content from your account, or request deletion by emailing support@sloosh.ai. Deletion is carried out within a reasonable time, subject to legal retention obligations and as described in our Privacy Policy.

8. Acceptable Use

You must not use the Service, directly or indirectly, to:

  • create, upload or share any sexual or sexualised content involving minors, or any content that exploits or endangers children;
  • create sexually explicit or intimate imagery of a real person, or any non-consensual intimate imagery;
  • create sexually explicit content of any kind, including of fictional or AI-generated people;
  • create deepfakes, impersonate any person or entity, or generate deceptive or misleading content about real people or events;
  • use the image, likeness or voice of any person without their consent;
  • infringe any third party's intellectual property, privacy or other rights, including by reproducing protected characters, logos or artworks without permission;
  • produce content that is defamatory, obscene, harassing, hateful, threatening, or that promotes violence, self-harm or illegal activity;
  • create content intended to mislead voters or interfere with elections or civic processes;
  • upload sensitive personal data such as government identification numbers, financial account details or health records;
  • identify individuals from images, or use the Service for surveillance, facial recognition or tracking of people;
  • bypass, disable or test the limits of safety filters, content moderation, rate limits or access controls;
  • reverse engineer, scrape, or extract the models, algorithms or source code of the Service, or access the Service by automated means except through interfaces we provide;
  • remove, alter or interfere with any watermark, provenance data or required attribution in an Output;
  • resell, sublicense or share access to your account or Credits outside your Workspace;
  • use the Service or any Output to develop, train or improve any AI model, or any product or service that competes with the Service, without our prior written consent;
  • breach the usage policies of any AI Model Provider that have been made known to you;
  • upload malware or interfere with the Service or its users; or
  • engage in fraud or use the Service in a way that breaks any law in any jurisdiction.

We may suspend or terminate access immediately and without notice for any breach of this Section.

9. Moderation and Enforcement

Automated tools may block or limit requests that appear to break these Terms. We may review Content, Share Links, account activity and session recordings, as described in our Privacy Policy, to detect and investigate abuse. We are not obliged to monitor the Service or any Content. If we believe you have breached these Terms, we may remove Content, disable Share Links, suspend or terminate your account, and forfeit any unused Credits without refund. Where required by law, we will report illegal content to the relevant authorities. When we remove your Content or restrict your account, we will tell you why, unless the law or a safety risk prevents it, and you can ask us to review the decision by emailing support@sloosh.ai.

To report content that you believe breaks these Terms or infringes your rights, email support@sloosh.ai. If an intimate image of a person has been published through the Service without their consent, that person or someone acting for them can ask us to remove it, and we will remove it within 48 hours of receiving a valid request.

10. Third-Party Services

The Service relies on third-party services, including AI Model Providers, Stripe and Google Sign-In. We are not responsible for third-party services, and their availability, performance and terms are outside our control. We are not liable for interruptions or changes in the Service caused by changes a third party makes to its models, APIs or terms.

11. Intellectual Property

HOM.AI's IP: All software, technology, models, interfaces, trademarks (including "Sloosh"), trade names and content that make up the Service, other than your Content, are owned by HOM.AI or its licensors and protected by intellectual property laws. These Terms give you only the limited right to use the Service as set out here.

Feedback: If you give us suggestions, ideas or feedback about the Service, you grant HOM.AI an irrevocable, perpetual, worldwide, royalty-free licence to use and incorporate them without any obligation to you.

Copyright Notices: If you believe content on the Service infringes your copyright, email support@sloosh.ai with the information required under applicable copyright law, including identification of the work, the location of the infringing content, your contact details and a statement of good faith. We will investigate and respond in line with our legal obligations, and may terminate the accounts of repeat infringers. If your Content was removed after a copyright notice and you believe this was a mistake, you may send us a counter-notice with the information required by law, and we will handle it as that law requires. 12. Disclaimers

You represent and warrant that you have the legal capacity and authority to enter into these Terms, that your use of the Service will comply with all applicable laws, and that all information you give us is accurate.

THE SERVICE, INCLUDING ALL OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOM.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

HOM.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. OUTPUTS ARE GENERATED BY AI AND MAY BE INACCURATE, UNEXPECTED, OFFENSIVE, OR SIMILAR TO EXISTING WORKS OR REAL PEOPLE. HOM.AI DOES NOT WARRANT THE ACCURACY, QUALITY OR FITNESS FOR PURPOSE OF ANY OUTPUT. EXCEPT AS AGREED IN A SEPARATE WRITTEN AGREEMENT, HOM.AI GIVES NO INDEMNITY FOR ANY CLAIM THAT AN OUTPUT INFRINGES THE RIGHTS OF ANY THIRD PARTY.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

a. Exclusion of Consequential Loss

IN NO EVENT WILL HOM.AI, ITS DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF HOM.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HOM.AI has no liability for any Content, including where Inputs or Outputs infringe third-party rights, breach applicable law, or are used in a manner that is unlawful, misleading or harmful.

b. Cap on Liability

HOM.AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HOM.AI IN THE ONE (1) MONTH IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) S$100 (SINGAPORE DOLLARS).

c. Mandatory Exceptions

Nothing in these Terms excludes or limits HOM.AI's liability for: (i) death or personal injury caused by HOM.AI's negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or limited under mandatory applicable law, including consumer protection law.

d. Basis of the Bargain

You acknowledge that these limitations reflect a reasonable allocation of risk and form an essential basis of the bargain between you and HOM.AI, and that HOM.AI would not provide the Service on these terms without them.

14. Indemnification

You agree to defend, indemnify and hold harmless HOM.AI and its affiliates, directors, officers, employees and agents from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • your Content or your use of the Service;
  • any claim by a person depicted in, or whose rights are affected by, your Inputs or Outputs;
  • your breach of these Terms or any applicable law;
  • your infringement of any third party's intellectual property, privacy, publicity or other rights;
  • any content you publish or share using the Service, including through Share Links;
  • your Published Content; and
  • anything done through your account by a Connected Agent.

15. Suspension and Termination

By You

You may stop using the Service and close your account at any time. Cancellation of a Plan works as described in Section 6.

By HOM.AI

HOM.AI may suspend or terminate your access to the Service immediately and without notice if: (i) you breach these Terms; (ii) we reasonably suspect fraudulent, abusive or illegal activity connected with your account; (iii) your payment repeatedly fails; or (iv) we are required to do so by law. HOM.AI may also discontinue the Service entirely with reasonable notice.

Effect of Termination

When your account ends for any reason:

  • your right to access and use the Service ends immediately;
  • unused Plan Credits and Top-Up Credits are forfeited and are not refundable, except where termination results from HOM.AI's material breach of these Terms;
  • Share Links you created stop working;
  • we may delete your account data in accordance with our Privacy Policy, and you may request deletion by emailing support@sloosh.ai; and
  • Sections 7, 11, 12, 13, 14, 17 and 18, and any other provision that by its nature should survive, will survive.

16. Changes to the Service and These Terms

We may update these Terms from time to time. For material changes, particularly those affecting your rights in your Content, Credits, fees or liability, we will give you at least 14 days' notice by email to your registered address or through a prominent notice on the Service before the changes take effect. If you continue using the Service after the notice period, you accept the updated Terms. If you do not accept a material change, you may cancel your Plan before it takes effect.

17. Dispute Resolution and Governing Law

Governing Law

These Terms and any dispute arising out of or in connection with them are governed by the laws of Singapore, without regard to conflict of law principles.

Arbitration

Any dispute, controversy or claim arising out of or in connection with these Terms, including any question about their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") under the SIAC Arbitration Rules in force at the time. The seat of arbitration is Singapore. The language of arbitration is English. The tribunal shall consist of one arbitrator.

Mandatory Law

Nothing in this Section limits rights you have under mandatory law in your country of residence that cannot be excluded by contract, including consumer protection laws and any right as a consumer to bring proceedings in the courts of your country of residence.

18. General

Entire Agreement: These Terms, together with the Privacy Policy and any additional terms for specific features shown in the Service, are the entire agreement between you and HOM.AI about the Service and replace all prior agreements and understandings.

Severability: If any provision is held invalid, illegal or unenforceable, the rest of these Terms remain in full force and effect.

Waiver: HOM.AI's failure to enforce any right or provision is not a waiver of it.

Assignment: You may not assign or transfer your rights or obligations under these Terms without HOM.AI's prior written consent. HOM.AI may assign these Terms without restriction.

Force Majeure: HOM.AI is not liable for any delay or failure caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, internet or telecommunications failures, government action, or outages of AI Model Providers or other third-party services.

No Agency: Nothing in these Terms creates an agency, partnership, joint venture or employment relationship between you and HOM.AI.

Notices: We will send notices to your registered email address. Notices to HOM.AI must be sent to support@sloosh.ai or to HOM.AI PTE. LTD., 20 Collyer Quay, #18-03, Singapore 049319.

Electronic Communications: You consent to receive communications from HOM.AI electronically, and agree that electronic agreements, notices and disclosures satisfy any legal requirement that they be in writing.

Language: If these Terms are translated, the English version prevails.
